This position reports to AVP, Corporate Secretarial Management and is responsible for the corporate administration of a portfolio of client entities and serves as a resource to the Trust teams.

 

Your responsibilities will include:

  • Ensuring that the corporate records of each company are current, the company is in compliance, and changes to the regulatory and administrative status of each company are maintained.
  • Arranging and attending Board and Shareholder meetings as required, preparing meeting documents, acting as meeting secretary, and preparing and finalizing meeting minutes.
  • Responding to requests from Trust company Relationship Managers and/or authorised client representatives to effect company transactions.
  • Maintaining statutory registers including Register of Members, Register of Directors and Officers, Beneficial Ownership Registers, and others as necessary.
  • Submitting statutory and economic substance filings for client companies.
  • Preparing documents related to members’ voluntary liquidations and strike-offs.
  • Ensuring that annual company and license fees payable in accordance with the relevant legislation are collected and remitted to the regulatory authorities on a timely basis.
  • Preparing and filing applications to establish Bermuda companies and partnerships.
  • Keeping abreast of new legislation and updating client company records to comply, as needed.
  • Providing corporate secretarial advice to the Trust Team.
  • Maintaining and developing key client relationships, including taking an active role in solving client concerns.
  • Fulfilling client compliance requirements in line with Butterfield policies and procedures.
  • Assisting with the management and development of staff.
  • Assisting with other related duties as assigned by management.

 

Your qualifications and skills include:

  • Degree or professional designation in trust, accounting, or corporate secretarial services, or at least five years of corporate secretarial experience.
  • Sound knowledge of the INTEGRA System and the ROC portal for filing applications.
  • Successful completion of Corporate Procedures 1 and 2 and a Member of the Institute of Chartered Secretaries and Administrator.
  • Willingness to pursue the STEP Foundation course and, ultimately, the Diploma in International Trust Management.
  • Sound knowledge of Bermuda and other jurisdictional Company legislation.
  • Experience/knowledge of incorporate Bermuda companies, including private trust companies.
  • Ability to interact with executives, directors, and other trust staff to gain their confidence.
  • Thorough knowledge of AGM protocols, procedures, and legislative compliance.
  • Knowledge of the functions and responsibilities of company directors.
  • Extensive knowledge in the use of Microsoft Office suite of products.
  • Excellent oral and written communication skills.
  • Proven ability and flexibility to effectively co-ordinate multiple responsibilities and assignments in a demanding work environment.
  • Drafting skills are essential to success in this role.
