The Corporate Secretary ensures regulatory compliance and good standing for entities by managing corporate records, facilitating board meetings, handling statutory filings and transactions, and providing expert advice to support client relationships.

 

Overview

This position reports to the AVP, Corporate Secretarial Management, Trust, and is responsible for managing and delivering quality corporate administration services to an assigned portfolio of Bermuda and international entities, and for serving as a key secretarial resource to the broader Trust team.

 

Your responsibilities will include:

  • Ensuring that the corporate records of each entity are current, that the entity is in compliance and in good order, and that changes to the regulatory and administrative status of each entity are maintained up to date
  • Arranging Board and Shareholder meetings as required; preparing meeting documents, including meeting minutes; convening and attending said meetings; acting as meeting secretary; ensuring meetings are properly held and constituted; and providing advice on corporate secretarial matters, as necessary
  • Responding to requests from Trust company Relationship Managers and/or authorised client representatives to effect entity transactions
  • Maintaining statutory registers (e.g. Register of Members, Directors and Officers, Beneficial Owners, etc..) and submitting statutory and economic substance filings as necessary for assigned entities 
  • Preparing documents related to members’ voluntary liquidations and strike-offs
  • Ensuring that annual company and license fees payable in accordance with the relevant legislation are collected and remitted to the regulatory authorities in a timely manner
  • Preparing and filing applications to establish all types of Bermuda companies and partnerships
  • Keeping abreast of new legislation and updating client company records to comply, as necessary
  • Maintaining and developing key client relationships, including taking an active role in solving client concerns
  • Fulfil client compliance requirements in line with Butterfield policies and procedures
  • Assist with the management and development of staff

 

Your qualifications and skills include:

  • Degree or professional designation in trust, accounting or corporate secretarial services or at least five years corporate secretarial experience
  • Successful completion of Corporate Procedures 1 and 2 and a Member of the Institute of Chartered Secretaries and Administrators
  • Willingness to pursue the STEP Foundation course and ultimately the Diploma in International Trust Management
  • Sound knowledge of Bermuda and other jurisdictional Company legislation
  • Drafting skills are essential to success in this role
  • Experience/knowledge of incorporated Bermuda Companies including Private Trust Companies
  • Ability to interact with executives, directors and other staff and gain their confidence and trust
  • Thorough knowledge of AGM protocols, procedures and legislative compliance
  • Knowledge of the functions and responsibilities of company directors
  • Extensive knowledge in the use of the Microsoft suite of products
  • Excellent oral and written communication skills
  • Proven ability to effectively co-ordinate multiple responsibilities and assignments in a demanding work environment
